Structured finance product — an asset-backed security or a related structured product the Commission decides fits that description. The Commission must study how credit ratings are made for these products. The study must look at conflicts from issuer-pay and subscriber-pay models; whether a public or private system could assign rating organizations and how fees and payments would work, plus possible moral-hazard or constitutional issues; what measures could show rating accuracy; and other ways to pay rating agencies that encourage accurate ratings. The Commission must send a report with findings and any recommended changes to the Senate Banking Committee and the House Financial Services Committee within 24 months after July 21, 2010. After that report, the Commission must make rules to set up a system that stops issuers, sponsors, or underwriters from picking the rating agency that gives the initial ratings, giving careful consideration to section 15E(w) as described in section 939D of H.R. 4173 (Senate-passed May 20, 2010), unless it finds a better approach. This does not limit the Commission’s other rulemaking powers.
