People who act as agents for a foreign principal must file a true and complete registration statement with the Attorney General. They must file it in duplicate, under oath, on the form the Attorney General requires, within 10 days after becoming such an agent. The registration must give key facts about the registrant (name, addresses, status), governing papers and who runs the organization, the nature of the business and employees, the foreign principals they represent, copies or full descriptions of any agreements, a clear account of money or things of value received or spent in the last 60 days, detailed descriptions of activities they do (including political activities), names of other people involved, and any other documents or statements the Attorney General asks for to avoid misleading information. After the first filing, the agent must file a sworn supplement within 30 days after each six‑month period to keep the record current. Some changes must be reported within 10 days. The Attorney General can require more frequent updates if needed. The registration must be signed under oath: by the individual registrant, by a majority of partners for a partnership, or by a majority of officers or the board for other organizations. Filing does not mean the Attorney General has approved it, and false or missing material facts can lead to prosecution. If an agent already filed certain material under section 2386 of title 18, the Attorney General may allow that material to be used instead of refiled. The Attorney General may also create exemptions for listed partners, officers, employees, or for agents in some cases. Registrations and supplements must be filed electronically as well as in any other required form.
