Title 26 › Subtitle A — Income Taxes › CHAPTER 1 — NORMAL TAXES AND SURTAXES › Subchapter K — Partners and Partnerships › PART II — CONTRIBUTIONS, DISTRIBUTIONS, AND TRANSFERS › Subpart B — Distributions by a Partnership › § 731
Tells when a partner must report gain or loss when the partnership gives them money or property. A partner usually does not report gain when they get a distribution. The partner must report gain only if the money they get is more than their adjusted basis in the partnership right before the distribution. A partner usually does not report a loss either. But if the partner’s interest is being liquidated and they get only money, unrealized receivables, or inventory, then a loss is allowed to the extent the partner’s basis is more than the money plus the basis of those receivables and inventory. Any gain or loss recognized here is treated as if the partner sold their partnership interest. Says the partnership itself does not report gain or loss when it gives property to a partner. Treats marketable securities as money and values them at fair market value on the distribution date. “Marketable securities” covers many traded financial items like stocks, bonds, currencies, mutual fund shares, options, futures, convertible or derivative instruments, and similar interests. There are rules and some exceptions (for example, if the partner originally contributed the security, if it wasn’t marketable when bought, or for certain investment partnerships and eligible partners). If gain is recognized on distributed securities, their basis is increased by that gain and the increase is spread to securities with the most unrealized appreciation. Special rules treat gains on unrealized receivables or inventory as ordinary income. The Secretary may make regulations to carry out these rules. This section does not apply where sections 736, 751, or 737 say otherwise.
