Covered foreign person — a foreign entity tied to a country of concern by its place of incorporation or business, membership in political leadership, control or direction by such a country or its entities, or being 50 percent or more owned (directly or indirectly). Covered national security transaction — certain US person investments, loans, joint ventures, conversions of debt to equity, property or business development in a country of concern, directing foreign parties to do those things, certain fund investments, or other transactions the Secretary identifies as aiding a country of concern’s military, intelligence, surveillance, or cyber capabilities, with listed exceptions including de minimis deals, public securities, certain fund stakes, many banking and routine business services, intra-company transfers, and transactions before December 18, 2025. Ancillary transaction — routine financial services like payment processing, underwriting, credit ratings, custody, foreign exchange, and remittances. Foreign person — defined by rules under this subchapter. Knowledge/know — means actual knowledge, awareness of a high probability, or reason to know. Notifiable technology — technology areas (semiconductors and microelectronics, artificial intelligence, quantum information, high-performance/supercomputing, and hypersonics) that rules may further define. Prohibited technology — similar list but may be specified as advanced semiconductor and microelectronics and further defined by the Secretary. Party — defined by regulations. Person — includes individuals, companies, groups, and state or local governments. Secretary — the Secretary of the Treasury. United States person — US citizens or lawful permanent residents, entities organized under US law (including foreign branches), and anyone in the United States.
