HOLX · CIK 859737

What Hologic, Inc. told the SEC could break it.

2 self-disclosed vulnerabilities, pulled from its own filings — each in the company’s words, with the source. This is the risk register almost nobody reads.

A limited set so far — we surface every cited disclosure we’ve extracted for HOLX. More may follow as additional filings are processed.

In its own words

What could break it.

Sole-source dependency

  • sole-source contract manufacturers (Stratec, Flextronics) and componentshigh

Hologic depends on sole-source third-party manufacturers — Stratec (Panther/Panther Fusion instruments) and Flextronics (Skeletal Health goods) — with no firm long-term volume commitments, plus sole-source key components/raw materials; FDA quality requirements make replacement sources slow to qualify.

We are dependent on these sole source third-party manufacturers, and this dependence exposes us to increased risks associated with production delays, delivery schedules, manufacturing capability, quality control, quality assurance and costs. We have no firm long-term volume commitments with either Stratec or Flextronics.

Regulatory & policy

  • US import tariffs (Costa Rica/Mexico manufacturing)medium

Hologic manufactures most GYN Surgical/Breast Health disposables in Costa Rica (10% tariff) and Skeletal Health products via Mexico (25%, largely USMCA-exempt); FY2025 tariff expense was $9.5M, with an estimated $10-14M per quarter going forward if tariffs hold.

For fiscal 2025, primarily in the fourth quarter, we recorded tariff expense of $9.5 million. Based on the mitigation efforts we have taken and expect to take, we estimate that, if maintained at current levels, the impact of direct tariff costs to us on a quarterly basis will be approximately $10 million to $14 million.
