People must register with the Commission before they use the mail or any interstate means to act as a swap data repository. A derivatives clearing organization may register too. Registered repositories must follow the core rules and any extra rules the Commission makes. The Commission can inspect and examine any registered repository. The Commission will set uniform data standards for every swap and for who reports them, and repositories must collect and keep those data in a way similar to data rules for clearing organizations. A registered repository must accept the required swap data, check that the data are correct with both parties, keep the data as the Commission requires, and give the Commission direct electronic access and whatever reports are needed for public reporting. It must build systems to monitor and analyze swap data, protect private transaction information, and have emergency, backup, and recovery plans. The repository may share data confidentially with U.S. regulators, law enforcement, and certain foreign authorities, but only after getting a written promise to follow confidentiality rules. Each repository must name a chief compliance officer who reports to the board, checks rules are followed, handles conflicts of interest, and files an annual signed compliance report. Repositories must avoid unreasonable restraints or major anti‑competitive actions, have open governance, and set conflict‑of‑interest rules. The Commission may add duties and will adopt rules for registrants.
