A derivatives clearing organization must be registered with the Commodity Futures Trading Commission before using the mail or any interstate means to clear commodity futures, options on futures, or swaps. If it is not registered, it may not perform those clearing functions. Certain organizations that were clearing for designated contract markets before December 21, 2000, or that cleared swaps before July 21, 2010, are treated as already registered for what they were doing then. To stay registered, a clearing group must meet many safety, recordkeeping, and fairness rules. It must have enough money, people, and systems to handle its work, including money to cover the largest likely member default in extreme but plausible markets and enough to run for one year. It must have fair and public rules for who can join and what trades it will clear, check members regularly, and limit losses by using margin, risk models, and daily exposure checks. Settlements must be done at least once each business day, be final, and be kept in accurate records. The group must protect members’ funds, plan for defaults, run strong operational and disaster-recovery systems, keep records for at least 5 years, and share clear information about fees, rules, margins, and prices. It must have transparent governance, conflict-of-interest limits, include market users on its board, and keep a chief compliance officer who reports to the board and files an annual certified compliance report. The Commission can appoint a trustee if registration is suspended or revoked, can allow links with other clearing houses (but no forced takeover of another’s credit risk), may exempt some firms if they are supervised by the SEC or a comparable foreign regulator, and can require clearing organizations that clear swaps to provide data and share it with other agencies under confidentiality rules.
