Repealing Big Brother Overreach Act

Sponsored By: Representative Davidson, Warren [R-OH-8]

In Committee

Summary

This bill would repeal the Corporate Transparency Act and remove its broad domestic beneficial-ownership reporting rules. It refocuses the law to cover only *foreign* beneficial ownership and requires the Financial Crimes Enforcement Network to delete certain non-foreign and non-reporting records within 90 days.

Show full summary
  • Individuals who are not foreign beneficial owners: BOI that FinCEN collected about these individuals would be deleted within 90 days.
  • Corporations, limited liability companies, and similar entities that are not reporting companies: BOI for those entities would be deleted within 90 days.
  • The text of 31 U.S.C. 5336 would be rewritten to insert the word "foreign" before every occurrence of "beneficial" and to change how foreign ownership and reporting-company definitions are described.

Delete non-foreign company ownership records

If enacted, the bill would repeal the Corporate Transparency Act and narrow beneficial ownership rules to foreign owners. It would insert the word "foreign" throughout the BOI statute and change who the law treats as a covered owner. Not later than 90 days after enactment, FinCEN would have to delete BOI records it collected for any individual who is not a foreign beneficial owner. The deletion would also cover BOI for any corporation, LLC, or similar entity that is not a reporting company.
