Core UCC filing rules and early filing

A UCC financing statement is sufficient only if it names the debtor, names the secured party or a representative, and lists the collateral. You may file a financing statement before a security agreement is signed or before the security interest attaches. Other sufficiency and recording rules still apply.

Mortgage records count as UCC for fixtures

A recorded mortgage also counts as a UCC financing statement for fixtures, as-extracted collateral, or timber to be cut. It is effective from the recording date if it states the goods or accounts covered, ties them to the described property, meets the financing-statement rules, and is duly recorded. For these filings, the statement must say it covers fixtures, timber, or as-extracted collateral and that it will be recorded in real property records. It must give a property description that would work in a mortgage, and name a record owner if the debtor has no recorded interest. The law also eases naming: in a mortgage record used as a financing statement, an individual debtor is sufficiently named by the person’s individual name or by surname and first personal name, even if the person has an unexpired DMV license or ID.
