Starting January 1, 2026, for private construction contracts signed on or after that date, no more than 5% can be held back from any payment. Total retention across the job cannot exceed 5% of the contract price. A contractor cannot withhold a higher percentage from a subcontractor than the owner withholds from the direct contractor. These limits apply at every step of the payment chain.
Starting January 1, 2026, there are two carve-outs to the 5% cap. First, the cap does not apply if a contractor gave written notice before or at bid that performance and payment bonds are required, and the subcontractor fails to furnish a bond from an admitted surety insurer. Second, the cap does not apply to residential projects that are not mixed-use and have four stories or fewer. In lawsuits to enforce these rules, the court awards reasonable attorney’s fees to the party that wins.
