Fines up to $10,000 per day for late filings

Beginning August 12, 2026, if a business fails to follow Colorado’s pre‑merger filing rules, the Attorney General may seek civil penalties. After written notice and a three‑business‑day chance to fix the issue, fines can be up to $10,000 per day of noncompliance.

New one-day deadline to copy merger filing

Beginning August 12, 2026, any business that files a federal pre‑merger notice must send Colorado a complete electronic copy within one business day. Colorado does not charge a state fee for filing the copy or related materials. The Attorney General provides a secure way to receive and store these documents.

Stronger privacy and sharing rules for mergers

Beginning August 12, 2026, Colorado may share merger filings with another state only if that state has a similar law, equal or stronger confidentiality rules, and promises to keep the documents confidential. Colorado must give the filer at least five business days’ notice before any such disclosure. The Attorney General must return or destroy submitted materials within 120 days after the deal closes or related legal cases end, unless a court or law says otherwise. The law also defines the Uniform Antitrust Pre‑Merger Notification Act as the national model act Colorado follows.
