How shareholders vote in Illinois

Beginning June 23, 1995, each share gets one vote on matters at shareholder meetings. In director elections, you can cumulate your votes. You may give one candidate the number of directors times your shares, or split your votes among candidates. You can vote in person or by proxy. Proxy votes must follow the state’s proxy rules.

Companies can change shareholder voting rights

Beginning June 23, 1995, corporations formed after December 31, 1981 may write limits or special voting rights into their articles. Any corporation, no matter when formed, can amend its articles to limit or remove cumulative voting, or to limit, deny, or grant special voting rights for any class or series. When shares have unequal voting power, majorities are counted by votes, not by the number of shares.
