Protections against fake business filings
The law protects people from fake or unauthorized business filings. The Secretary of State accepts sworn statements reporting identity or business information misuse. Filers cannot list a person’s name without their consent, or list an address without the owner’s or occupant’s consent. No one may deliver a filing unless they have authority to act. These protections apply beginning January 1, 2026, and intentional violations face penalties.
New rules for business agents and addresses
The law sets new rules for registered agents and offices for New Hampshire businesses. If your agent is a person, they must be at least 18 and live in New Hampshire while serving. If your agent is a business, it must be in good standing and current on required reports, fees, and its own agent and office. Your registered office cannot be a commercial mail box, virtual office, or mail forwarding service; list a real physical address. These rules take effect January 1, 2026.
