If you do not meet the state merger filing and document rules, the Attorney General can seek up to $10,000 for each day you are out of compliance. This penalty is per day until you comply and follows due process.
This law applies only to premerger notifications filed on or after its effective date. Filings made before that date are not covered. Courts must try to apply this act the same way other states do to keep rules consistent.
Your HSR form and extra materials are confidential. They are exempt from public records requests. The Attorney General generally cannot disclose the filings, that they were filed, or the proposed deal, except as allowed by this law. The AG can share them in a court or agency case only under a protective order. The AG may also share with the FTC, the U.S. Department of Justice, or another state that has a similar law with equal confidentiality protections. If sharing with another state, the AG must give you at least two business days’ notice before disclosure.
If you file a federal HSR merger notice, you must also send a complete electronic copy to the Washington Attorney General when any is true: your main office is in Washington; your Washington sales for the deal’s goods or services are at least 20% of the federal filing threshold; or you are a provider or provider organization doing business in Washington. If your main office is in Washington, include a complete electronic copy of the additional documentary material with the state filing. If you filed because of the 20% sales rule or as a provider, you must send that additional material within seven days after the Attorney General asks. The Attorney General cannot charge a filing or materials fee. For providers, giving the AG the HSR copy also counts as the separate provider notice required under state law.
