Incident2012
In 2011, Fresenius Medical Care conducted an internal study showing dialysis patients were up to 6x more likely to suffer cardiopulmonary arrest if given GranuFlo dry acid concentrate (FMC's own product, which generates extra bicarbonate from acetate conversion). FMC sent a confidential memo to its own clinic operators in November 2011 but did not notify the FDA for 15 months. After a whistleblower alerted the FDA in March 2012, the agency issued a Class I recall — the most serious classification.
DrugWatch ↗Did you know2023
Fresenius Medical Care is the world's largest dialyzer manufacturer (43% global share) AND the world's largest dialysis clinic operator (4,000+ centers) — a rare self-consuming supply chain where the manufacturer buys ~40% of its own production through captive clinics. This vertical integration creates a unique competitive dynamic: Fresenius sets the market price for dialyzers AND is the price-taker in its own clinics — allowing internal transfer pricing optimization that external competitors cannot replicate. In the US, Fresenius and DaVita together control ~75% of outpatient hemodialysis — a near-duopoly in a service where 350,000 patients with no kidney function come 3 times per week for life. This patient captivity (ESRD patients cannot switch providers easily; many depend on a single local clinic) and federal Medicare ESRD entitlement payment create one of the most durable, recession-proof revenue streams in US healthcare.
Fresenius Medical Care AG & Co. KGaA ↗Capacity2012
In 2012, an internal Fresenius Medical Care memo was leaked showing that GranuFlo and NaturaLyte dialysate concentrates produced higher-than-expected bicarbonate levels in patients — and that Fresenius had sent a safety warning to its own clinics in November 2011 without disclosing the information to the FDA or independent clinic operators. The FDA issued an emergency safety communication in March 2012 after the memo was leaked; subsequent analysis estimated that GranuFlo/NaturaLyte may have contributed to over 900 sudden cardiac deaths annually in US dialysis patients. The scandal illustrated a structural risk unique to vertically integrated dialysis: when the product manufacturer is also the service provider, safety information about defects in products may be managed to protect the company's dual interests rather than immediately disclosed to regulators and competitors.
US Food and Drug Administration ↗Origin2023
Fresenius Medical Care was created in 1996 by the merger of Fresenius AG's dialysis division (German) with National Medical Care (NMC, US) — the world's largest dialysis clinic chain at the time. This combined the world's largest dialyzer manufacturer with the world's largest dialysis service provider into a single company. The market structure is self-reinforcing: Fresenius manufactures dialyzers AND operates clinics that buy those dialyzers, creating transfer pricing complexity and competitive barriers that make it very difficult for competitors to challenge both the manufacturing and service sides simultaneously. Fresenius Medical Care trades on both NYSE (FME) and Frankfurt Stock Exchange; parent Fresenius SE & Co. KGaA is a German hospital company that also operates Fresenius Kabi (IV drugs) and Fresenius Helios (hospital chain) — one family-controlled German company provides IV therapy, dialysis, and hospital services.
