Title 15 › CHAPTER 98 — PUBLIC COMPANY ACCOUNTING REFORM AND CORPORATE RESPONSIBILITY › SUBCHAPTER I — PUBLIC COMPANY ACCOUNTING OVERSIGHT BOARD › § 7214
The Board must run ongoing inspections of registered public accounting firms to see if they follow the Act, Board and Commission rules, and professional standards when they audit companies. Firms that audit more than 100 issuers must be inspected every year. Firms that audit 100 or fewer issuers must be inspected at least once every 3 years. The Board will pick which audits and offices to review, check the firm’s quality-control systems, test audit procedures, and can require extra records for inspection. The Board must point out possible violations, tell the Commission and state regulators, and start investigations or discipline when needed. Firms get to review and respond to draft inspection reports, and their redacted response must be attached to the final report. Final inspection reports go to the Commission, state regulators, and the public, but quality-control criticisms can be kept private if the firm fixes them to the Board’s satisfaction within 12 months. A firm can ask the Commission to review certain final-report decisions within 30 days. Definitions: a “covered issuer” is an issuer that must file reports under sections 78m or 78o(d). A “non-inspection year” is a year after December 18, 2020 when the Board says it could not fully inspect the firm’s foreign office for an audit of a covered issuer. The Commission will identify covered issuers whose auditors have foreign offices the Board cannot fully inspect and will require those issuers to show they are not owned or controlled by that foreign government. If a covered issuer has 2 consecutive non-inspection years, the Commission must ban trading of its securities on national exchanges and other Commission-regulated markets. The ban ends if the issuer hires a firm the Board has inspected to the Commission’s satisfaction. If the problem returns, the ban comes back; a later ban can be lifted only after a 5-year period if the issuer then hires an inspectable firm. The Commission had to issue rules for required submissions within 90 days after December 18, 2020.
