Title 15 › CHAPTER 2B — SECURITIES EXCHANGES › § 78q–1
Requires the Securities and Exchange Commission (SEC) to help create a national system for quick, accurate, and safe clearing and settling of securities trades. The SEC must use its power to link and standardize clearing and settlement facilities, working with the Commodity Futures Trading Commission (CFTC) and the Federal Reserve when needed. Clearing agencies and transfer agents must register with the SEC or the appropriate regulator before using the mail or interstate commerce to do their work, unless the SEC or the regulator grants an exemption. To register, a clearing agency must show it can clear and settle trades, protect securities and funds, enforce its rules, and run fairly. Its rules must allow certain types of firms to be participants, give fair representation in governance, set fair fees, avoid price-fixing, provide fair discipline and denial procedures, and not block competition. A clearing agency may deny or limit participation for people who are disqualified, fail financial or operational standards, or otherwise fail to meet rules; the agency must give notice and a chance to be heard in most cases, though it may summarily suspend a participant for SRO expulsion, delivery defaults, or severe financial trouble. Transfer agents must file applications and their registration normally becomes effective 45 days after filing unless delayed; the appropriate regulator may deny, censure, limit, suspend up to 12 months, or revoke registration for specified misconduct or convictions, and may postpone effectiveness for up to 15 days while deciding. The SEC must work to stop the physical movement of paper certificates for broker-dealer settlements. The SEC may make rules about how certificated or uncertificated securities are transferred and about the rights and duties of buyers, sellers, owners, lenders, borrowers, and intermediaries if it finds such rules are needed to protect investors and keep the national system working; States may pass different laws within 2 years after an SEC rule. The SEC must set up an advisory committee (15 members) within 90 days after October 16, 1990, to study transfer-law issues and report within 6 months. For unpaid or uncashed checks to “missing security holders,” the SEC must update rules so paying agents send a single written notice no later than 7 months after a check is sent, with an exclusion for amounts under $25; “missing” means a check is not cashed before the next scheduled check or within 6 months. The SEC had to adopt these rules no later than 1 year after July 21, 2010. Clearing agencies that handle security-based swaps must be registered with the SEC and meet SEC standards, which the SEC may set to match evolving U.S. and international norms. Agencies can voluntarily register even if not required. The SEC may exempt a clearing agency from registration for security-based swaps if it is already under comparable supervision by the CFTC or foreign authorities, but may impose conditions like inspection rights. Certain depository institutions or derivatives clearing organizations registered with the CFTC and meeting listed conditions before July 21, 2010, are treated as registered for clearing security-based swaps; one such depository may convert its corporate form by a shareholder vote of at least 51 percent. The CFTC must share relevant information with the SEC on request. Finally, the SEC may update the core principles for clearing agencies over time to reflect changing U.S. and international standards. Defined terms in one line each: clearing agency — an entity that clears and settles trades; transfer agent — an entity that records and transfers ownership of securities; paying agent — anyone who accepts issuer payments and distributes them to holders; missing security holder — a holder who does not cash a check before the next scheduled check or within 6 months.
