A national bank cannot change into a state bank, or merge or combine with a state bank under the federal rules here or under section 321, if doing so would violate the laws of the state where the national bank is located. Such a change can only happen if the state’s law lets state banks convert into or merge with national banks without needing state approval and if the state’s rules are not stricter than the limits in section 214a.
