Egg Price Inflation for Consumers
Between June 2022 and March 2025, defendants coordinated bids that artificially raised the daily price quotations published by Urner Barry. Because many retailer contracts tie retail prices to Urner Barry's quotations, this conduct led to higher egg prices for retailers and, therefore, higher prices for consumers.
Ban on Bid Coordination Among Competitors
The proposed Final Judgment bars Cal‑Maine from directly or indirectly communicating or agreeing with any competitor about bidding strategies, the prices, timing, or number of bids, or non‑public information planned for Benchmark Publications. These prohibitions are stated as permanent injunctions in Section IV of the Final Judgment.
Five‑Year Compliance and Reporting Requirements
For five years starting with Cal‑Maine's second full financial quarter after entry of the order, Cal‑Maine must submit twice‑a‑year certifications under penalty of perjury that it did not communicate with competitors about bids not based on 'Legitimate Business Needs.' Within 30 days after the close of each bi‑annual quarter, Cal‑Maine must also provide a written explanation under penalty of perjury for each Deleted Bid, including date/time, unique identifier, dollar value, deletion time, and reasons for deletion.
