NXP is publicly known as the world's largest automotive chip company, but the same NXP MIFARE chip technology is embedded in virtually every biometric passport issued by the 120+ countries that use ICAO standard e-passports — as well as in every Apple Pay contactless payment, every London Oyster transit card, Tokyo Suica, Paris Navigo, and most other global transit systems. NXP simultaneously controls the automotive chip supply chain (safety-critical vehicle computers) and the government identity infrastructure supply chain (biometric travel documents, payment cards, transit systems). A manufacturing disruption at NXP would not only halt EV production at Volkswagen, Toyota, and General Motors — it would interrupt the supply of chips for new passport issuance globally, new payment card production, and transit card replenishment. The car company chip supplier and the passport chip supplier are the same Dutch company.

NXP dominates automotive-grade CAN transceivers. This means NXP silicon is embedded in virtually every ISOBUS-compliant ECU on every modern tractor, combine, and implement from every manufacturer. A supply disruption of NXP CAN transceivers would simultaneously affect ECU production at Bosch, Continental/AUMOVIO, John Deere, CNH/Raven, CLAAS, and every other ag electronics manufacturer at once.

NXP Semiconductors was spun out of Philips as an independent company in 2006 (Philips sold 80% to a private equity consortium including KKR, Bain Capital, Apax). In 2015, NXP acquired Freescale Semiconductor (formerly Motorola Semiconductor) for $11.8B — creating the world's largest automotive chip company. The company was then the target of a $44B hostile takeover bid by Qualcomm in 2016. The deal was ultimately killed in 2018 — not by US antitrust, not by European regulators, but by China's State Administration for Market Regulation (SAMR), which declined to approve the merger before the deadline expired. This was the first time China's antitrust regulator blocked a US-to-European technology acquisition through deliberate delay rather than outright prohibition. The Qualcomm/NXP failure is widely regarded as the opening shot of Chinese government use of regulatory authority as a strategic geopolitical tool in semiconductor industry consolidation.
