Title 15 › CHAPTER 2D — INVESTMENT COMPANIES AND ADVISERS › SUBCHAPTER I — INVESTMENT COMPANIES › § 80a–41
The Commission can investigate anyone it believes has broken or might break the rules. It can take sworn statements, ask people to come to hearings, and demand papers, records, or other evidence. Commission members or staff can give oaths and issue orders to appear and bring documents. If someone refuses, the Commission can ask a federal court to force them to testify or hand over records. A court can punish failure to obey by treating it as contempt. Deliberately not following a Commission order can also be a crime punishable by up to $1,000 in fines, up to one year in jail, or both. The Commission can go to court to stop illegal acts and make people follow the rules. A court can issue temporary or permanent orders without requiring a bond. In some cases the court can take control of an investment company’s assets and books and appoint a trustee to manage or sell them. The Commission can also send evidence to the Attorney General for possible criminal charges. The Commission may ask a federal court to impose civil money penalties. Penalties rise in three tiers: first tier up to the greater of $5,000 for a natural person or $50,000 for others, or the total money gained from the violation; second tier (for fraud or reckless conduct) up to the greater of $50,000 for a natural person or $250,000 for others, or the total gain; third tier (fraud that caused big losses or big risk of losses) up to the greater of $100,000 for a natural person or $500,000 for others, or the total gain. Penalties go to the U.S. Treasury unless another law provides otherwise. If a person won’t pay, the Commission can ask the Attorney General to collect. Each separate breach of a cease-and-desist order is a separate offense, and each day of ongoing noncompliance counts as a separate offense.
