Easier reinstatement for Native village corporations

Native village corporations the state dissolved can be reinstated through December 31, 2020, even after the normal two-year limit. This covers corporations organized under the Alaska Native Claims Settlement Act and dissolved by the commissioner. When reinstated, the company and its shareholders get back all rights and duties as if it was never dissolved, and actions during dissolution still count. If the old name is taken, the board alone may amend the articles to choose a new name.

Proxy mailings filed for Alaska Native corporations

A copy of any annual report, proxy, consent, or proxy statement sent to shareholders must be filed with the state administrator at the same time. This applies when any person sends these materials to 30 or more Alaska resident shareholders of an Alaska Native corporation that had 500 or more original shareholders when formed. The law removes the old $1,000,000 asset test, so more corporations must make these filings.
