When a foreign corporation files its application, it can start doing business in Illinois. Registering to do business counts as consent to Illinois general jurisdiction. New registrants consent at registration. Corporations already registered consent on their next annual report due date. Consent ends only when the company formally withdraws from Illinois.
A foreign corporation doing business in Illinois without authority cannot sue in Illinois courts until it gets authority. Doing business without authority counts as consenting to Illinois general jurisdiction for 180 days after each act. The Attorney General must sue to stop companies whose authority was revoked. Not having authority does not void your contracts, and you can still defend a case.
Illinois courts have broad power over people and companies with strong ties here. This includes being served while present in Illinois, being domiciled or resident at key times, being organized here, having your main office here, or doing business here. Some foreign corporations that consent face general jurisdiction for certain toxic‑exposure cases, but only if at least one co‑defendant is otherwise properly in Illinois.
If someone is subject to Illinois jurisdiction, you can personally serve them outside Illinois with the same effect as in‑state service. In product‑liability suits against defendants outside the U.S., you can serve the Illinois Secretary of State for a $5 fee. You must also mail the papers to the defendant, and file an affidavit and mailing certificate. Service counts from the day the Secretary of State is served.
Illinois courts can decide whether to recognize a defamation judgment from outside the U.S. against an Illinois resident or Illinois‑based business. The publication must have been in Illinois. The Illinois party must have assets here or need to take steps in Illinois to comply. This applies to judgments made before, on, or after the law’s effective date.
Illinois courts now hear cases when certain acts tie you to Illinois. Examples include doing business here, committing a tort here, owning Illinois real estate, or insuring Illinois risks. It also covers sex in Illinois linked to conception or failure to support a child, spouse, or ex who lives here. Contracts tied to Illinois, buying assets located here, fiduciary or trust roles here, and serving as an officer or director of an Illinois company also count. You can be sued here only on claims that arise from those acts.
