Tennessee businesses face new shutdown grounds
Beginning April 21, 2025, Tennessee has two new grounds to dissolve domestic entities or revoke out-of-state entities’ authority to operate. These rules cover cooperatives, corporations, limited liability companies, and limited partnerships. One ground applies when a signer specified for that entity type knowingly signs a Secretary of State filing containing materially false information. The other applies to ownership or control by a foreign adversary designated by the U.S. Secretary of Commerce under 15 CFR 791.4(a) or its replacement. The ownership ground excludes entities involved in transactions approved by the Committee on Foreign Investment in the United States.
