In January 2024, OCI N.V. sold its US nitrogen fertilizer business — Iowa Fertilizer Company (Wever, Iowa) and OCI Beaumont (Texas) — to Koch Ag & Energy Solutions (subsidiary of Koch Industries) for $3.6 billion. This transaction made Koch the second-largest US nitrogen fertilizer producer after CF Industries, consolidating North American ammonia/nitrogen into two dominant players. Koch, a privately held conglomerate known primarily for oil refining and political advocacy, now directly controls major US ammonia production capacity with no public disclosure obligations.

OCI NV is controlled by Nassef Sawiris, a member of the Egyptian Sawiris family business dynasty, who built OCI as a spinoff from Orascom Construction Industries -- an Egyptian construction conglomerate that had diversified into fertilizers. OCI grew through aggressive acquisitions: the Iowa Fertilizer Company (Wever, Iowa -- first new US ammonia plant in 25 years when opened 2017), OCI Nitrogen in the Netherlands (former DSM fertilizer plant), and EBIC in Egypt. OCI's ambition is to become a major player in clean ammonia -- using electrolysis from renewable power to produce ammonia without carbon emissions, then selling it as shipping fuel (which represents a roughly $150B market opportunity as maritime decarbonization accelerates). The company simultaneously produces conventional Haber-Bosch ammonia (for agriculture, from natural gas) and is developing clean ammonia for the same molecule used as a zero-carbon shipping fuel. An Egyptian construction company's fertilizer spinoff is positioning to supply the global shipping industry's transition fuel.
