Louisiana financial institutions can use electronic shares

Beginning August 1, 2026, covered Louisiana financial institutions can issue shares without paper certificates unless their articles or bylaws say otherwise. Covered institutions include state-chartered banks, capital stock associations, savings banks, and their holding companies. Boards can approve issuing or converting some or all shares of any class or series by majority vote. Ownership can be recorded electronically, including through direct-registration systems. Existing certificates remain valid until surrendered to the corporation. Shareholder rights and duties remain the same regardless of share format, unless a statute expressly says otherwise.
