Annual LLC filing and $25 fee

Beginning November 1, 2026, every domestic and foreign LLC registered in Oklahoma must file an annual certificate and pay a $25 fee. The filing is due each year on the anniversary of your original filing and must include the principal business address and email. The Secretary of State emails a reminder at least 60 days before the due date. If you do not file and pay within 60 days after the due date, your company loses good standing, cannot get a certificate of good standing, and cannot start or keep lawsuits in Oklahoma until reinstated.

If you do not file within 60 days after the due date, the partnership loses good standing and cannot start or keep lawsuits in Oklahoma until reinstated.

New contact and agent rules for LLCs

Beginning November 1, 2026, new Oklahoma LLC filings must list the company’s street address and the registered agent’s name, street address, and email. The agent’s information must match the registered office in Oklahoma. Out‑of‑state LLCs registering must pay the required registration fee, submit a current certificate of existence, and list an Oklahoma registered agent with name, street address, and email. The agent must be an Oklahoma resident or a qualified company and keep a business office open during regular hours. If you do not maintain an in‑state agent, you must appoint the Secretary of State to receive legal papers.

Foreign limited partnerships applying to do business must list the principal office’s email and addresses, the initial Oklahoma agent’s name, email, and addresses, and each general partner’s email and addresses, and include a home‑state certificate of good standing. If you do not have or maintain an in‑state agent, you may appoint the Secretary of State to receive legal papers.
