Wyoming adds a new penalty trigger: giving false or fraudulent information to a registered agent. Wyoming corporations can be dissolved, and out-of-state corporations can lose authority to operate in Wyoming. Limited liability companies and statutory foundations can lose their authority or legal status. The Secretary of State must determine that the action serves the public interest. Findings can come during or after a records examination, or after notice from the registered agent. For limited liability companies, the company or a member must have supplied the information. For foundations, the foundation, its founder, or an authorized person must have supplied it. The law took effect upon enactment and adds no new fines or fees.
