Exemption for owners with federal clearance

An entity is exempt from these state limits if three things are true. It is registered and in good standing with Tennessee as of the later of January 1, 2025; the date it is named a prohibited foreign party; or the date it becomes a foreign‑party‑controlled business. It has CFIUS approval or a federal decision that no national‑security issues remain or that federal review has concluded. It has not had a later change in control that would restart federal review. If all conditions are met, it may keep agricultural or non‑agricultural land interests.

Mineral and water rights now covered

The law treats mineral and water rights as part of the land rules. Oil, gas, coal, lignite, brine, groundwater, and surface water are included. Sales, leases, and royalties tied to these rights now follow the same foreign-ownership restrictions as the land itself.

Stricter limits on foreign land control

The law tightens who counts as a foreign-controlled business. An entity is covered if a prohibited foreign party has control, a significant interest, or substantial control. Ownership tests drop to 10% in one rule and to 33% in another, so smaller stakes now trigger limits. The state also recognizes new federal designations from the Commerce Department, not just the arms-control list. A deleted definition subsection changes how parties are classified. These changes mean more owners and businesses fall under Tennessee’s land restrictions.

60-day deadlines for land compliance

Covered parties face 60-day deadlines. For farm land, the 60 days run from the later of January 1, 2025; the date a party is named a prohibited foreign party; the date a business becomes foreign‑party‑controlled; or the date the interest is acquired. For non‑farm land, the 60 days run from the later of January 1, 2025; the date a business becomes foreign‑party‑controlled; or the date the interest is acquired. These short windows require fast action after those triggers.
