The act takes effect July 1, 2025. From that date, the new foreign-adversary rules for corporations, LLCs, and foundations apply statewide.
Beginning July 1, 2025, the Secretary of State can forfeit an LLC’s or a statutory foundation’s articles and authority. This applies when, in the public interest, the entity—or any member, founder, or authorized person—is owned or controlled by someone on the U.S. Commerce Department’s “foreign adversary” list (15 C.F.R. 791.4). This does not apply if the federal Committee on Foreign Investment in the United States (CFIUS) approved the ownership or control.
Beginning July 1, 2025, the Wyoming Secretary of State can dissolve a Wyoming corporation or revoke an out-of-state corporation’s authority. This applies when, in the public interest, the company is owned or controlled by a government or person on the U.S. Commerce Department’s “foreign adversary” list (15 C.F.R. 791.4). The state cannot use this power if the ownership or control has been approved by the federal Committee on Foreign Investment in the United States (CFIUS).
